Terms and conditions of use for AdminISO

1. Acceptance of Terms
By accessing and using AdminISO (the "Service"), developed and operated by Beira Training ("we", "our" or "the Company"), you ("User" or "Client") agree to be legally bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you should not use our service.
2. Service Description
AdminISO is a SaaS (Software as a Service) platform designed to help companies implement, manage, and maintain quality management and regulatory compliance systems based on ISO 9001, ISO 14001, ISO 22000, FSSC 22000, HACCP plans, and other applicable standards. The service encompasses comprehensive tools including: Context and SWOT Analysis, Stakeholder Requirements, Process Control and Key Performance Indicators (KPIs), Risk and Opportunity Management, Document Control, systematic Complaint logging, Objective Tracking, Internal and External Audits, Corrective Actions, and Management Reviews. The platform operates under subscription models and offers temporary trial environments (Showroom and Launchpad) for validation prior to contracting.
3. Registration and User Account
To use AdminISO, your company must register and create an organizational account by providing accurate, current, and complete information. As the contracting company, you are responsible for managing users and access credentials within your organization, as well as all activities that occur under your corporate account. User administration, permissions, and password management are handled through administrators designated by your company. You must notify us immediately of any unauthorized use of your account or any security breach. We reserve the right to suspend or terminate accounts that violate these terms or represent a security risk.
4. Subscription and Payments
AdminISO operates under a subscription model with various plans (Free Trial, Self-Managed, Guided, Supervised) tailored to your organization's autonomy and needs. Subscription to Self-Managed and Guided plans occurs directly on the platform, and payments are processed automatically and securely by an internationally certified payment processor (PCI DSS compliant). We provide a Customer Portal allowing you to independently manage payment methods, plan upgrades, and cancellations. Subscriptions are billed in advance (monthly or annually) and renew automatically unless canceled prior to expiration. Pricing for the Supervised plan is determined by formal quotation. Currency. Plan prices are expressed in United States dollars (USD) as the reference currency. For customers located in Mexico, the charge is processed in Mexican pesos (MXN) for the amount displayed at the time of purchase. That amount remains fixed for the entire term of the subscription and is not recalculated due to exchange rate fluctuations. Price adjustments. AdminISO may adjust its prices. Any adjustment affecting an active subscription will be notified to you by email at least 30 (thirty) calendar days in advance and will take effect no earlier than the following billing period. You may cancel your subscription without penalty before the new price takes effect; continuing the subscription after that date constitutes acceptance of the adjusted price. Taxes and invoices. Plan prices are exclusive of taxes. Any taxes applicable under current legislation (for customers in Mexico, Value Added Tax [VAT]) will be added to the plan amount and itemized on the corresponding tax receipt. If you require a tax invoice, you must provide complete and current billing information. Failed payments. If a recurring charge is declined, we will attempt to process it again. After successive failed attempts, access to the platform may be temporarily suspended until payment is brought current, while your information is retained according to the retention periods described in the Termination section and in our Privacy Policy. Payments are non-refundable, unless otherwise required by law.
5. Acceptable Use
You agree to use AdminISO solely for legitimate and commercial purposes related to quality management systems. The following are prohibited: (a) using the service for illegal or unauthorized activities; (b) attempting to access, alter, or damage our systems, servers, or networks; (c) reverse engineering, decompiling, or attempting to extract source code; (d) reselling, redistributing, or transferring access to the service without authorization; (e) uploading malicious content, viruses, or harmful code; (f) violating third-party intellectual property rights; (g) conducting data mining or automated extraction activities; (h) intentionally overloading our systems; (i) using the service for spam or unsolicited communications. We reserve the right to immediately suspend or terminate accounts that violate these terms, without prior notice and without refund.
6. Data and Privacy
Your data is protected according to our Privacy Policy, which is an integral part of these terms. You retain ownership of all data you enter into the platform ("Customer Data"). AdminISO enforces strict multi-tenant isolation to ensure your information is inaccessible to third parties. Additionally, we operate an immutable forensic audit log system that tracks platform usage, assisting organizations in their own ISO compliance by providing access traceability. AdminISO will not access, use, or disclose Customer Data except: (a) to provide the service or authorized technical support operating under auditable impersonation protocols; (b) to prevent technical issues; or (c) when legally required. We implement enterprise-grade security measures, including infrastructure protection, encryption, and generous retention policies (grace periods) to prevent data loss upon cancelation.
7. Intellectual Property
AdminISO and all its content, including but not limited to software, source code, algorithms, text, graphics, logos, icons, images, designs, trademarks, trade names, and methodologies, are the exclusive property of the Company or its licensors and are protected by intellectual property laws, including copyrights, trademarks, and trade secrets. You obtain a limited, non-exclusive, non-transferable, and revocable license to use the service solely according to these terms and during the term of your subscription. This license does not include the right to: (a) modify, copy, distribute, or create derivative works; (b) reverse engineer or attempt to extract source code; (c) use our trademarks without written authorization; (d) access the service to develop competitive products. All rights not expressly granted are reserved to the Company.
8. Service Availability
We strive to keep AdminISO available 24 hours a day, 7 days a week, with a monthly uptime target of 99.5%, excluding scheduled maintenance. However, we do not guarantee uninterrupted availability due to factors such as: (a) scheduled maintenance (notified at least 24 hours in advance); (b) urgent security updates; (c) third-party infrastructure failures; (d) force majeure events; (e) denial of service attacks or security issues. We will make commercially reasonable efforts to minimize interruptions and restore service as soon as possible. We will not be responsible for losses, damages, or inconvenience arising from temporary service unavailability. As the sole remedy for prolonged interruptions (more than 48 hours), we may extend your subscription period by a time equivalent to the interruption.
9. Termination
You may cancel your subscription at any time from your control panel or through the Customer Portal. Cancellation takes effect at the end of the period already billed: you retain full access until that date and no further charges are made. We may terminate your access if you violate these terms. Upon termination, your information is not deleted immediately. Your organization enters a 30 (thirty) calendar day grace period during which you may reactivate the subscription or export your information, followed by an additional retention period of up to 90 (ninety) calendar days before permanent deletion. We recommend exporting your data before canceling. Audit logs are retained as described in our Privacy Policy.
10. Limitation of Liability
To the maximum extent permitted by applicable law, the total liability of the Company to you for any claim related to these terms or the service will be limited to the total amount paid by you during the 12 months prior to the event giving rise to the claim. In no event will we be liable for: (a) indirect, incidental, special, consequential, exemplary, or punitive damages; (b) loss of profits, revenue, data, use, business opportunities, or reputation; (c) business interruption; (d) cost of substitute services; (e) damages exceeding the amount of the established limitations, even if we have been advised of the possibility of such damages. These limitations apply regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or other) and will persist even if the limited remedies fail in their essential purpose.
11. Disclaimer of Warranties
AdminISO is provided "as is" and "as available." We offer no express or implied warranties about the service, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
12. Changes to Terms
We reserve the right to modify these terms. Where a modification is material —that is, where it meaningfully affects your rights, your obligations, or the financial conditions of your subscription— we will notify you by email at least 30 (thirty) calendar days in advance, and it will take effect at the end of that period. If you disagree with the modification, you may cancel your subscription without penalty before that date. Minor changes, wording corrections, or clarifications that do not materially alter the relationship take effect upon publication on our website. Your continued use of the service once the modifications are in effect constitutes your acceptance of the updated terms.
13. Governing Law
These terms will be governed and interpreted in accordance with the laws of Mexico. Any dispute related to these terms will be resolved in the competent courts of Mexico.
14. Indemnification
You agree to defend, indemnify, and hold harmless the Company, its directors, employees, agents, and affiliates from and against any claim, liability, damage, loss, cost, expense, or fee (including reasonable attorneys' fees) arising from or relating to: (a) your use of the service; (b) your violation of these terms; (c) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; (d) any content or data you provide through the service; (e) your conduct in connection with the service. This indemnification obligation will survive the termination of these terms.
15. Severability
If any provision of these terms is declared invalid, illegal, or unenforceable by a competent court, the remaining provisions will remain in full force and effect. The invalid provision will be replaced by a valid provision that most closely approximates the economic effect of the invalid provision.
16. Entire Agreement
These Terms and Conditions, together with the Privacy Policy, the Legal Notice, and the Cookie Policy, constitute the complete agreement between you and the Company regarding the use of AdminISO, and replace all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between the parties regarding this subject matter. In the event of a conflict between those documents, these Terms and Conditions prevail, except in matters of personal data processing, where the Privacy Policy prevails. If you entered into a signed contract or commercial proposal with the Company —for example, for the Supervised plan— the specific conditions of that document prevail over these Terms in the matters they expressly govern.
